Welcome to VaultBridge Logistics. These Terms of Service (“Terms”) govern your access to and use of our website, digital client portals, and corporate logistics, warehousing, freight forwarding, and supply chain management services (“Services”).

By requesting a quote, booking a shipment, or utilizing our digital platforms, you (“Client” or “User”) agree to be bound by these Terms. If you do not agree to these terms, you may not utilize our Services.

1. Scope of Services

VaultBridge Logistics operates as a global logistics provider coordinating freight transportation and cargo storage.

  • Carrier Execution: We utilize specialized networks of air, ocean, and land carriers to fulfill physical transport.

  • Service Adjustments: We reserve the right to alter or optimize routing plans, transit corridors, and operational workflows to bypass global supply chain bottlenecks or port delays without compromising shipment security.

2. Quotes, Pricing, and Payments

  • Validity of Quotes: All pricing estimations, freight quotes, and storage rates provided via our web forms are based on current market fuel indices, cargo weights, and transit lane dimensions. Quotes are subject to change until a booking is formally accepted.

  • Additional Fees: Clients are liable for supplementary costs incurred during transit that fall outside standard transport parameters. These include, but are not limited to, customs duties, port storage fees, unexpected detention or demurrage charges, and specialized government border inspections.

  • Payment Terms: Payment schedules and terms must be adhered to strictly in accordance with your individual corporate logistics contract or invoice guidelines to prevent transit holds.

3. Client Responsibilities and Cargo Compliance

The Client bears full responsibility for the legality, structural integrity, and documentation of the goods tendered for transport or warehousing.

  • Documentation Precision: The Client must provide highly accurate commercial invoices, shipping manifests, customs paperwork, and precise package weight and dimension measurements.

  • Restricted Goods: The Client represents and warrants that shipments do not contain hazardous materials, contraband, or illegal cargo prohibited by international trade laws or national border authorities.

  • Packaging Standards: All cargo must be packed, crated, or palletized securely to withstand the normal rigors of intermodal transportation, commercial cross-docking, and forklift handling.

4. Documentation and Customs Clearance

While VaultBridge Logistics offers specialized assistance with international trade filings and border documentation:

  • Final Accountability: The Client remains the legal “Importer of Record” or “Exporter of Record.”

  • Regulatory Delays: We are not liable for transit delays, cargo rejections, or fines resulting from inaccurate documentation or unexpected regulatory updates enacted by international customs agencies.

5. Risk of Loss, Liability, and Insurance Limitations

  • Limitation of Liability: VaultBridge Logistics operates under industry-standard carriage conventions and statutory liability limitations. We are not responsible for cargo damage, economic losses, or delays resulting from events beyond our control, including severe weather disruptions, labor strikes, port closures, or natural disasters (Force Majeure).

  • Cargo Insurance: Standard carrier liability typically covers only a fraction of the actual economic value of commercial goods. We strongly advise Clients to purchase our comprehensive corporate cargo insurance options to protect their investments fully against unpredictable transit incidents.

6. Access to Digital Portals and Intellectual Property

  • Account Security: If you utilize our real-time tracking portals or smart warehouse inventory management platforms, you are entirely responsible for safeguarding your login credentials.

  • Prohibited Use: Users may not reverse-engineer, scraper-extract, or systematically download portal tracking mechanics, graphic layouts, or source material without written corporate authorization.

  • Intellectual Property: All website text, brand names, layouts, interactive FAQ architectures, and software modules remain the exclusive property of VaultBridge Logistics.

7. Termination of Services

We reserve the right to suspend or terminate access to our tracking portals, commercial warehouses, or active logistics networks immediately, without prior notice, if a Client:

  • Violates any international trade regulations or national safety laws.

  • Fails to clear outstanding financial invoices within agreed contractual periods.

  • Tenders fraudulent, unverified, or hazardous cargo without proper disclosure.

8. Governing Law and Dispute Resolution

These Terms are governed by and construed under international commercial trade standards and corporate jurisdiction laws. Any formal disputes, legal claims, or disagreements arising out of our freight or warehousing agreements must be resolved through binding professional arbitration or within specified corporate courts before external legal actions are pursued.
